Addendum A — AI Capabilities

Part of the Alefbits Master EULA (Software Products). Applies to UCAN-AI3-…, UCAN-AI4-… and UCAN-AI4SEAT-… part numbers.

1. What is licensed

The AI part numbers license Alefbits' agentic capability layer — the domain tools, orchestration, governance, grounding and audit infrastructure — not language-model inference. Licensee brings its own model access ("BYO"): an API key for a cloud provider or a self-hosted OpenAI-compatible endpoint. Model usage fees are between Licensee and its model provider.

2. Data flow and confidentiality

2.1 Prompts and tool results (which may include Licensee project content, trace excerpts, signal data and logs) are transmitted directly from Licensee's environment to the model endpoint Licensee configured. No AI traffic passes through Alefbits infrastructure.

2.2 Licensee is responsible for: (a) its agreement with the model provider, including data-use and retention terms; (b) choosing an endpoint appropriate for the sensitivity of its data (including self-hosted for air-gapped labs); (c) compliance with its own customers' confidentiality obligations.

3. AI output — no warranty

AI-generated artifacts (topologies, behaviors, test suites, analyses, fixes, reports) are suggestions produced by a statistical model. Licensor does not warrant their correctness, completeness or fitness. Licensee must review AI-generated artifacts with the same engineering rigor as human-authored work before relying on them.

4. L4 autonomous operation — additional terms

4.1 The L4 headless agent executes multi-step campaigns without a human at a screen, subject to a policy configuration (allowed side-effect classes, budgets, kill switch). Licensee is solely responsible for its policy configuration and for the environments the agent may reach.

4.2 Hardware actuation. Actions that drive real buses, hardware or flashing are policy-gated. Enabling such actions is Licensee's decision and risk; Licensor recommends physical and organizational safeguards and disclaims liability for damage to devices under test caused by Licensee-authorized autonomous actions.

4.3 Audit trail. The agent records every tool call and verdict locally. Licensee should preserve these records as its own compliance evidence.

5. Concurrency and node binding (L4)

5.1 Floating farm slot. One UCAN-AI4-FLT-S slot licenses one concurrently running headless agent instance, checked out from Licensee's license server (on-premises or in Licensee's cloud account). Instance count is limited by slots, not by machine identity.

5.2 Node-locked engineer seat. One UCAN-AI4SEAT-NL-S seat licenses one concurrently running headless agent instance on the single licensed machine, and requires an active UCAN Studio Core seat on the same machine. It confers no served/floating rights and may not be pooled across machines.

6. Subscription only

AI capabilities are licensed by subscription only and terminate with the subscription term (Schedule 2).
