1. Nature of the transaction
1.1 Hardware items are sold as physical goods (sale of goods), not licensed. Nothing in the Master EULA's license grant or restrictions applies to the hardware as such; any firmware or driver software delivered with or for the hardware remains licensed under the manufacturer's terms or, where supplied by Licensor, under the Master EULA.
1.2 Hardware is resold from third-party manufacturers. No UCAN license rights are implied by a hardware purchase; software part numbers are licensed separately.
2. Delivery, shipping and risk
2.1 Delivery terms (Incoterms 2020) are stated on the Order Form; in their absence, DAP at the delivery address stated on the Order Form applies. Risk passes per the agreed Incoterm.
2.2 Hardware prices include standard shipping (one consolidated shipment per order, delivered per the Incoterm in §2.1) unless the Order Form states otherwise. Express delivery or special routing is quoted separately on request. Shipment insurance only on request and for Licensee's account.
2.3 Self-supply reservation. Agreed delivery dates are subject to correct and timely supply by Licensor's suppliers; if Licensor is not supplied through no fault of its own despite an existing covering order, delivery dates extend accordingly and Licensor will inform Licensee without undue delay.
3. Retention of title
Delivered hardware remains Licensor's property until payment in full of the corresponding invoice(s) (Eigentumsvorbehalt).
4. Inspection and warranty
4.1 Licensee shall inspect delivered hardware promptly and notify apparent defects in writing without undue delay (§ 377 HGB applies between merchants); hidden defects promptly upon discovery.
4.2 Hardware warranty is limited to passing through the manufacturer's warranty as received by Licensor, plus the statutory minimum that cannot be excluded between merchants. Licensor's own remedy obligation is limited to repair, replacement, or refund of the hardware price, at Licensor's choice. Warranty does not cover normal wear, mishandling, modification, or operation outside the manufacturer's specification.
4.3 Technical data are approximate; manufacturers may introduce revisions. Licensor does not warrant a particular production date code or hardware revision unless expressly agreed.
5. Export control
Hardware deliveries are subject to the export-control and No-Russia provisions of the Master EULA framework and the Order Form (incl. Art. 12g Reg. (EU) 833/2014 where applicable). Licensee shall provide end-use and end-user information on request.
6. Liability
The Master EULA's limitation of liability (Section 9) applies equally to hardware deliveries, except where mandatory product-liability law provides otherwise.
