Schedule 2 — Subscription License Terms

Part of the Alefbits Master EULA (Software Products). Applies to all …-S part numbers.

1. Grant and term

A subscription license is granted for the annual term stated on the Order Form, starting on the delivery of license keys unless the Order Form states otherwise. M&S is included in every subscription (updates, upgrades and support per Schedule 3) at no additional charge.

2. Renewal

2.1 Subscriptions renew for successive one-year terms upon mutual confirmation (quote/PO), at the then-current list price unless a multi-year price lock was purchased.

2.2 Non-renewal takes effect at term end. A 14-day technical grace period with in-product warnings applies after expiry, after which the licensed features stop functioning.

3. Subscription-only capabilities

AI capabilities (UCAN-AI3-…, UCAN-AI4-…, UCAN-AI4SEAT-…) and floating infrastructure slots (UCAN-SDKCI-…) are available only as subscriptions and are additionally governed by Addendum A where applicable.

4. Mid-term additions

Seats or slots added mid-term are pro-rated to the co-termination date of the existing subscription so all lines renew together.

5. Data retention after expiry

Expiry disables the Software's licensed features but never locks Licensee's data: projects, traces, reports and scripts are plain files on Licensee's systems and remain fully accessible.
